1) Agreement to terms

By accessing our Sites or using our services (equipment guidance, consulting, training, demos, quotes, purchases, and communications including SMS), you agree to these Terms.

2) Services

We provide advisory services for equipment selection (e.g., ovens), kitchen layout, training, demos, and may facilitate purchases via partners or direct sale where applicable.

3) Accounts & accuracy

Provide accurate information and keep credentials secure. You are responsible for all activity under your account.

4) Quotes, orders, and payments

Quotes are estimates and not binding until accepted in writing and (if required) deposit paid.

Availability & lead times may vary by manufacturer/logistics.

Payments are processed by third-party processors; by paying you agree to their terms. We do not store full card data.

Taxes, shipping, installation: quoted separately unless stated.

5) Consulting, training, and demos

Recommendations are based on your stated goals, menu, volume, and constraints. You are responsible for final decisions, code compliance, and operations. Demos illustrate capabilities; results may vary.

6) Cancellations & refunds

Consulting/training: cancel ≥48 hours before the session for a refund/credit (minus non-refundable expenses). Late cancellations/no-shows may be charged in full.

Equipment: follow the specific supplier/manufacturer policy (restocking, freight, return windows). We pass through those terms.

7) Acceptable use

No unlawful, infringing, or abusive use of our Sites or messaging. Do not attempt to circumvent security or disrupt services.

8) SMS/A2P 10DLC Terms

By opting in (see Privacy §10), you agree to receive recurring transactional and/or promotional texts from LOAD & WAVE at the number provided. Consent is not a condition of purchase. Msg&Data rates may apply. Msg freq varies.

You must be the subscriber or have authority to consent. You agree not to provide numbers you do not control.

Carriers are not liable for delayed/undelivered messages.

Prohibited content includes illegal, deceptive, or restricted categories (e.g., cannabis/THC, hate, explicit adult content, firearms marketing, etc.) in accordance with carrier rules.

We may change or discontinue the program or numbers without notice while honoring your consent choices.

9) Intellectual Property

All content, trademarks, and materials on the Sites are owned by us or our licensors and protected by law. You may not copy, modify, or exploit without permission.

10) User content & testimonials

If you submit reviews, photos, or feedback, you grant us a non-exclusive, royalty-free license to use them for marketing in any media, subject to applicable law and your opt-outs.

11) Third-party services & links

We use third-party platforms (e.g., payments, CRM, scheduling). Their terms apply in addition to ours.

12) Disclaimer of warranties

Services and Sites are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Real-world results (throughput, bake times, labor savings) can vary.

13) Limitation of liability

To the fullest extent allowed, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue/data. Our aggregate liability for any claim is limited to the fees you paid to us for the service giving rise to the claim in the 3 months prior.

14) Indemnification

You agree to defend and indemnify us against claims arising from your misuse of the Sites/services, violation of these Terms, or infringement of third-party rights.

15) E-Sign & electronic communications consent

You consent to receive documents and notices electronically (email, app, SMS). You may withdraw consent by contacting [email protected] (may limit service availability).

16) Changes to Terms

We may update these Terms; continued use after posting means acceptance.

17) Governing law & disputes

These Terms are governed by the laws of Florida, USA, without regard to conflicts of law.
Arbitration: Except for small-claims or injunctive relief, disputes will be resolved by binding arbitration on an individual basis under the AAA Rules in Palm Beach County, FL. Class-action waiver and jury-trial waiver apply. You may opt out of arbitration within 30 days of first acceptance by emailing [email protected] with subject “Arbitration Opt-Out”.

18) Termination

We may suspend/terminate access for any breach or unlawful activity. Sections that by nature should survive do survive (IP, disclaimers, liability limits, arbitration).
